Constitution

Droylsden Academy Trust is constituted as a charitable company limited by guarantee and is registered with Companies House (Company Registration No. 6731528).

The Charitable Company's Memorandum and Articles of Association is the primary governing document of the Academy Trust.

The Secretary of State enters into a Funding Agreement with the Academy Trust (rather than the sponsor) for the running of the Academy.

Academies were originally established as registered charities (registered and regulated by the Charity Commission). However, on 1 August 2011 all academies became ‘exempt’ charities, with the Secretary of State as the Principal Regulator. They were removed from the Charity Commission register on this date.

Members

The Members of the Droylsden Academy Trust shall comprise:

  • The Principal Sponsor
  • Up to 2 persons appointed by the Principal Sponsor
  • 1 person appointed by the Secretary of State, in the event that the Secretary of State appoints a person for this purpose
  • The Chair of Trustees
  • Any person appointed under article 7 (the Members may agree unanimously in writing to appoint such additional Members as they think fit and may unanimously agree win writing to remove any such additional Members)

The liability of the members of the Academy Trust is limited, as with any company limited by guarantee, by the amount undertaken by the members - in this case £10.

The functions of the members include:

  1. overseeing the achievement of the objectives of the company
  2. taking part in Annual and Extraordinary General Meetings
  3. receiving the company’s report and annual accounts.

Trustees

In single academy trust academies, directors or trustees are often referred to as governors.  Most day-to-day decisions are made collectively through a board of trustees, referred to as the governing body.

Trustees at Droylsden Academy have three roles:

  • Governors of the school
  • Directors of the Academy Trust as a company
  • Trustees of the Academy Trust as a charity

Method of Recruitment and Appointment or Election of Trustees

The Trustees of the Academy Trust shall comprise not less than 3 persons, but shall not be subject to a maximum.  The Academy Trust shall have the following Trustees:

  • up to 11 Sponsor Trustees, appointed by the Principal Sponsor (Tameside College)
  • Local Authority Trustee if appointed;
  • 1 Parent Trustee elected by parents of registered pupils at the Academy;
  • 1 Staff Trustee elected by the staff at the Academy;
  • the Principal (Headteacher) appointed by the Academy Trust;
  • any Trustees appointed by the Secretary of State;
  • up to 3 Co-opted Trustees, a person who is appointed to be a Trustee by being co-opted by Trustees who have not themselves been so appointed.

Each of the persons entitled to appoint Trustees above shall have the right, from time to time by written notice delivered to the office, to remove any member appointed by them and to appoint a replacement member to fill a vacancy whether resulting from such removal or otherwise.

The term of office for any Trustee shall be 4 years, save that this time limit shall not apply to either the Headteacher or Principal Sponsor (during any period that the Principal Sponsor is a Trustee) remaining eligible to be a particular type of Trustee, any Trustee may be re-appointed or re-elected.

Due to the nature of Discipline Committee meetings (being held at short notice), the Board of Trustees determined not to have a designated membership for this Committee, but to seek three members each time the Committee needed to meet. Eight meetings were held during 2016/17; three trustees were available on each occasion during the year.
